Throughout this document, the following terms carry the meanings set out below:

- If engaging on behalf of an organisation, you confirm that you have the authority to bind that organisation to this Agreement.

3. Service Description
Nestvault provides education and general information on pension and retirement-related matters. Our three offerings are:
- Personal Records Vault Setup (฿3,800) — a guided process to help you organise personal paperwork and contacts into a labelled structure. This is an organisation service only; no documents are interpreted, and no financial, legal, or professional advice is provided.
- Plain-Terms Learning Course (฿6,500) — a general educational course explaining how retirement schemes are typically structured and the terminology you are likely to encounter. This is general education, not personal guidance.
- Organisational Communication Advisory (฿11,700) — a B2B engagement helping employers communicate retirement benefit information to staff through internal guides, FAQs, and reusable HR templates. This covers communication and process, not financial planning or advice.
Services are available to individuals and organisations in Thailand. We reserve the right to decline or discontinue an engagement at our reasonable discretion.
4. Enrolment & Access
- Enrolment begins when a service confirmation is exchanged by email or written communication and the applicable fee is received.
- Access to session materials is provided as agreed at the time of enrolment.
- You are responsible for keeping any login details or access credentials confidential. Please notify us immediately if you believe access has been shared without your authorisation.
- Materials provided are for personal or internal organisational use only and may not be redistributed to third parties.
5. User Responsibilities
When using this website or participating in an offering, you agree to:
- Provide accurate information when making an enquiry or completing an intake form.
- Use materials and content for their stated purpose only.
- Treat any session facilitator with respect and professionalism.
- Not reproduce, resell, or publicly share materials provided as part of an engagement without written permission from Nestvault.
- Not use this website or its content to misrepresent information to others as professional financial, legal, or advisory guidance.
Prohibited activities include using any content from this website to mislead others, distributing materials in a manner that implies they constitute regulated advice, or interfering with the website's technical operation.
6. Intellectual Property
- All content produced by Nestvault — including templates, course notes, guides, session materials, and website text — remains the intellectual property of Nestvault.
- You are granted a limited, non-exclusive, non-transferable licence to use the materials for the purposes described at the time of your engagement.
- This licence does not permit you to sublicense, publicly distribute, sell, or adapt materials without written consent.
- Nothing in this Agreement transfers ownership of any intellectual property to you.
7. Payment Terms
- All fees are stated in Thai Baht (฿) and are payable in full prior to or at the commencement of the relevant offering, unless otherwise agreed in writing.
- Payment methods are confirmed at the time of enrolment.
- Fees are non-refundable once a session has commenced, except where Nestvault cancels the engagement.
- If Nestvault cancels a booked engagement before it begins, a full refund will be issued within 14 business days.
- Partial cancellations (e.g. withdrawing partway through a course) are not eligible for a partial refund unless agreed in writing at the time of enrolment.
- Nestvault reserves the right to adjust fees for future engagements. Fee changes will not affect confirmed enrolments.
8. Service-Specific Terms
Personal Records Vault Setup:
- This service assists with organisation only. Nestvault does not review, interpret, or advise on the content of any documents.
- Nestvault does not retain copies of any personal documents you organise during the setup process.
- The templates and index provided are for your personal record-keeping and are not a substitute for professional document management or legal advice.
Plain-Terms Learning Course:
- The course covers general information about how retirement schemes are commonly structured. Content does not constitute personal financial, legal, or professional advice.
- Session notes are provided for your reference and may not be reproduced or shared outside your household.
- Pointers to official sources are provided for general orientation only; Nestvault is not responsible for the content or accuracy of external resources.
Organisational Communication Advisory (B2B):
- The scope of the engagement covers internal communication and process only. Nestvault does not advise on pension scheme design, investment decisions, or regulatory compliance.
- Templates and materials produced are for use by the commissioning organisation's HR team within the organisation's internal communications.
- Any changes to the scope of the engagement require written agreement from both parties before additional work commences.
9. Disclaimers
- All offerings are provided for general educational and informational purposes only. Nothing we provide constitutes financial, investment, legal, or professional advice.
- We do not make any representation that the information provided will be suitable for your specific circumstances, or that it will lead to any particular outcome.
- The website and its content are provided on an "as available" basis. We do not warrant that the website will be free from interruption or error at all times.
- Information about pension schemes and retirement matters changes over time. We endeavour to keep our materials current but cannot warrant the accuracy or completeness of any information at any given time.
10. Limitation of Liability
To the fullest extent permitted by applicable Thai law:
- Nestvault shall not be liable for any indirect, incidental, consequential, or special loss or damage arising from your use of the website or participation in an offering.
- Our total liability to you for any claim arising from these terms or an engagement shall not exceed the fee paid for the specific offering to which the claim relates.
- We are not liable for losses arising from events outside our reasonable control, including changes in Thai law or government policy, systems failures, or third-party service disruptions.
11. Indemnification
You agree to indemnify and hold harmless Nestvault and its representatives from any claims, costs, losses, or liabilities arising from your use of the website or materials in a manner inconsistent with these terms, or from your misrepresentation of our content to third parties as constituting professional advice.
12. Termination
- Either party may withdraw from an engagement before it has commenced by providing written notice. The applicable refund terms in Section 7 will apply.
- Nestvault may decline to continue an engagement if a participant's conduct during sessions is disruptive or inconsistent with these terms.
- Obligations that by their nature survive termination — including intellectual property rights, indemnification, and limitation of liability — will continue after an engagement ends.
13. Dispute Resolution
- These terms are governed by the laws of the Kingdom of Thailand.
- Any dispute arising under these terms shall be subject to the jurisdiction of the courts of Bangkok, Thailand.
- Before initiating any formal proceedings, we ask that both parties attempt to resolve the dispute informally by contacting us at [email protected]. We will respond within 14 business days.
- If informal resolution is not possible, disputes may be referred to mediation before proceeding to formal legal process, where both parties agree in writing to do so.
14. General Provisions
- Entire agreement: These terms, together with any service confirmation, constitute the complete agreement between you and Nestvault for the relevant offering.
- Severability: If any provision of these terms is found to be unenforceable, the remaining provisions will continue in full force.
- Waiver: Failure to enforce any provision does not constitute a waiver of that provision or any other.
- Assignment: You may not transfer your rights or obligations under these terms without written consent from Nestvault. We may assign these terms in connection with a transfer of business.

15. Changes to These Terms
